Terms of Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization (such as a venue or label), you represent that you are authorized to accept these Terms on its behalf.

You are responsible for the information you provide, for keeping your password secure, and for all activity under your account. Verify your email address when prompted so we can secure your account and send important notices. Notify us promptly of any unauthorized use.

MusicRat.ai is a marketplace and set of tools that helps artists, venues, labels, and related parties discover each other, communicate, plan bookings, and manage related documents. We are a platform, not a party to the agreements you make with other users. We do not guarantee any booking, performance, payment, or outcome, and we are not responsible for the conduct of any user.

When you pay a deposit or fee through the Service, payments are processed by our third-party payment provider, Stripe, including via Stripe Connect for payouts to venues. You authorize us and Stripe to charge, hold, transfer, and (where applicable) refund amounts in connection with a booking. We charge a platform service fee on transactions, disclosed at the time of payment. You are responsible for any taxes arising from your transactions.

Cancellations, refunds, and deposit terms are primarily set between the transacting parties. We may facilitate refunds through Stripe where appropriate but are not obligated to do so absent a legal requirement.

The Service may generate document templates (such as performance or recording contracts) and provide AI-assisted responses. These are provided for convenience only, may contain errors, and are not legal, financial, or professional advice. You are responsible for reviewing any document or output and should consult a qualified professional before relying on it.

You agree not to: break the law; infringe others’ rights; post false, misleading, or harmful content; harass or defraud other users; attempt to circumvent fees; scrape, disrupt, or reverse-engineer the Service; or use it to send spam. We may suspend or remove content or accounts that violate these Terms.

You retain ownership of content you submit (profiles, messages, media). You grant us a non-exclusive, worldwide license to host and display that content for the purpose of operating and improving the Service.

The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, MusicRat.ai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Service. Our total liability for any claim will not exceed the greater of the fees you paid us in the twelve months before the claim or USD $100.

You agree to indemnify and hold harmless MusicRat.ai from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, except where local consumer-protection law requires otherwise.
